These terms govern your use of SealSnap's e-signature platform and services.

1. Acceptance of Terms
By accessing, using, or registering for SealSnap's electronic signature platform and related services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms constitute a legally binding agreement between you and SealSnap, Inc. ("SealSnap," "we," "us," or "our").
2. Description of Services
2.1 Electronic Signature Platform
SealSnap provides a cloud-based electronic signature platform that enables users to:
- Create, send, and manage electronic documents for signature
- Apply legally binding electronic signatures
- Track document status and maintain audit trails
- Store and organize signed documents
- Integrate with third-party applications and services
2.2 Service Availability
We strive to maintain 99.9% uptime for our Services. Scheduled maintenance will be announced in advance. We reserve the right to modify, suspend, or discontinue any aspect of the Services with reasonable notice.
3. User Accounts and Registration
3.1 Account Creation
To use our Services, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information remains current and accurate
3.2 Account Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts. By creating an account, you represent and warrant that you meet these requirements.
4. Acceptable Use Policy
4.1 Permitted Uses
You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services for fraudulent or deceptive purposes
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services or servers
- Use automated tools to access the Services without permission
- Reverse engineer, decompile, or disassemble our software
4.2 Content Standards
All content uploaded to our Services must comply with applicable laws and must not contain:

- Copyrighted material without proper authorization

5. Electronic Signatures and Legal Validity
5.1 Legal Compliance
Our electronic signature technology complies with:
- Electronic Signatures in Global and National Commerce Act (ESIGN)
- Uniform Electronic Transactions Act (UETA)
- European Union eIDAS Regulation
- Other applicable electronic signature laws
5.2 Signature Intent
By applying an electronic signature through our Services, you acknowledge your intent to be legally bound by the signed document and agree that your electronic signature has the same legal effect as a handwritten signature.
6. Intellectual Property Rights
6.1 SealSnap's Rights
The Services, including all software, technology, designs, and content, are owned by SealSnap and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
6.2 User Content
You retain ownership of content you upload to our Services. By uploading content, you grant us a limited license to process, store, and transmit your content solely to provide the Services.
7. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Payment Terms
8.1 Subscription Fees
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as specified in our refund policy.
8.2 Payment Processing
Payments are processed by third-party payment processors. You agree to provide accurate payment information and authorize us to charge your payment method for all fees.
8.3 Late Payments
If payment is not received when due, we may suspend or terminate your access to the Services. You remain responsible for all unpaid fees plus any collection costs.
9. Service Level Agreement
9.1 Uptime Commitment
We commit to maintaining 99.9% uptime for our Services, calculated monthly. If we fail to meet this commitment, eligible customers may receive service credits as outlined in our SLA.
9.2 Support
We provide customer support during business hours (Monday-Friday, 9 AM - 6 PM PST). Enterprise customers receive priority support with faster response times.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEALSNAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
10.3 Liability Cap
Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless SealSnap from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting customer support. Termination does not relieve you of payment obligations for services already provided.
12.2 Termination by Us
We may terminate or suspend your account immediately for violation of these Terms, non-payment, or other reasons with or without notice as permitted by law.
12.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. We will provide reasonable access to export your data for 30 days after termination.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
13.2 Arbitration
Any disputes arising from these Terms shall be resolved through binding arbitration in San Diego, California, under the rules of the American Arbitration Association.
13.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms, constitute the entire agreement between you and SealSnap.
14.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
14.3 Assignment
You may not assign these Terms without our written consent. We may assign these Terms without restriction.
